These Terms and Conditions ("Terms") govern your access to and use of the website located at auroracreativewerks.com (the "Site") operated by Julian's Vending LLC dba Aurora Creative Werks ("we," "us," or "our"). By accessing or using the Site, you agree to be bound by these Terms.
1. Website Use
We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Site for your personal, non-commercial informational purposes. You agree not to use the Site for any unlawful purpose or in any way that interrupts, damages, or impairs the service.
2. Studio Services
These Terms govern the use of this website. Our studio services, including design, development, and automation projects, are governed by separate, specifically executed proposals, statements of work, or project agreements ("Project Agreements") signed by you and Aurora Creative Werks. In the event of a conflict between these Terms and a signed Project Agreement, the Project Agreement shall prevail with respect to the specific services.
3. Client Responsibilities
If you choose to use our services or access our client portal, you are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate, current, and complete information and to respond to requests for materials or feedback in a timely manner.
4. Intellectual Property
Client Materials: You retain all intellectual property rights to the logos, copy, imagery, and other materials you provide to us for use in your project.
Final Deliverables: After final approval and verified cleared final payment, you receive ownership of custom final code and assets produced exclusively for your project. Third-party and open-source materials remain subject to their own licenses. Handoff follows the schedule in your Project Agreement, not an instant automatic transfer on payment.
Pre-existing Tools: We retain all rights to any pre-existing code libraries, tools, frameworks, and generalized components developed prior to your project that may be incorporated into the deliverables. You are granted a non-exclusive, perpetual license to use these incorporated tools as part of the final deliverable.
Site Content: All content, design, and branding on the Aurora Creative Werks website are owned by us and are protected by applicable copyright and trademark laws.
Your website: Your site, domain, and accounts are in your business's name. A simple editor lets you update text and photos.
5. Payments and Refunds
Your discovery call is free. Project payment and cancellation terms are set out in your agreement. Payments currently remain in test mode.
6. Acceptable Use
You must not use our Site or client portal to transmit harmful code, upload unauthorized promotional materials, attempt to breach our security measures, or engage in any activity that could damage the reputation or operations of Aurora Creative Werks.
7. Third-Party Services
Our Site may contain links to third-party websites or services that are not owned or controlled by us. We assume no responsibility for the content, privacy policies, or practices of any third party.
8. Disclaimers
The Site is provided on an "AS-IS" and "AS-AVAILABLE" basis. We make no representations or warranties of any kind, express or implied, regarding the operation of the Site or the information, content, or materials included on it.
9. Limitation of Liability
To the fullest extent permitted by applicable law, Julian's Vending LLC dba Aurora Creative Werks shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your access to or use of the Site.
10. Indemnification
You agree to indemnify and defend Julian's Vending LLC dba Aurora Creative Werks against third-party claims arising directly from your material breach of these Terms, unlawful use of the Site, or infringement caused by materials you submit. This obligation applies only to the extent permitted by law and does not cover losses caused by our own negligence or misconduct.
11. Termination
We may suspend or terminate access to the Site or client portal when reasonably necessary to protect the Site, comply with law, address nonpayment under an applicable Project Agreement, or respond to a material breach of these Terms. When practical and lawful, we will provide notice and an opportunity to address the issue.
12. Governing Law
These Terms shall be governed and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.
13. Changes to Terms
We may update these Terms to reflect changes to the Site, our practices, or applicable law. Material changes will be indicated by updating the "Effective Date" at the top of this page and, when appropriate, providing additional notice.
