DRAFT FOR LEGAL REVIEW — NOT FOR LIVE EXECUTION WEBSITE BUILD & HANDOFF AGREEMENT

This template is general information, not legal advice. A California attorney must review the completed agreement before use. Portal acknowledgements and payments currently test the workflow only; they do not authorize real charges, commencement of work, or a production handoff.

1. PARTIES AND PROJECT COVER PAGE

Provider: Julian's Vending LLC dba Aurora Creative Werks (Provider). Client legal name, authorized representative, notice email, effective date, and project: complete in the project statement of work before live execution. If a disagreement comes up, both parties will first try to resolve it in good faith by talking directly. If that doesn't work within 30 days, both parties agree to try mediation before going to court. Governing law: California, United States. California court venue must be completed and reviewed in the final cover page. Package, fixed fee, page list, features, deliverables, dependencies, review dates, handoff date, and acceptance criteria: the attached project proposal/statement of work (SOW).

2. STANDARD TERMS AND ADDITIONAL TERMS

This draft cover page and the following Additional Terms use the Bonterms Professional Services Agreement, Version 1.2, incorporated by reference at https://bonterms.com/forms/professional-services-agreement-v1.2/. Provide the Client a copy of those unchanged standard terms with the final agreement. Bonterms, Inc., © 2023; free to use under CC BY 4.0: https://creativecommons.org/licenses/by/4.0/. The Additional Terms below take precedence over conflicting standard terms as permitted by their Section 17.5. The project scope must match these service limits; any exception requires an express written amendment signed by both parties. This is a single-project build-and-handoff engagement, not a continuing service arrangement.

3. SCOPE, PACKAGES, AND INCLUDED EDITS

Launch: one-page website; two consolidated revision rounds. Growth: up to five pages; two consolidated revision rounds. Complete: up to ten pages and one agreed automation; two consolidated revision rounds. The SOW lists the exact pages, features, content, and automation. Each revision round is one consolidated written feedback list from the Client's designated contact, followed by one implementation pass on work within the approved scope. Included revisions may adjust agreed text, photos, business details, colors, spacing, or an existing agreed layout before final approval. They are not unlimited edits or separate rounds for every page. Additional rounds, new pages, new integrations, new functionality, or a substantial redesign outside the approved scope require an agreed written change order specifying price and schedule before that work begins. Correcting Provider-caused defects is not charged against revision rounds. Unused rounds do not become post-handoff support, refunds, or credits. Each package includes a simple client content editor for the delivered website's designated text, photos, and business details. It does not include a page builder, new pages, layout changes, source-code editing, new features, or additional integrations. The SOW identifies the editable fields and chosen platform. Client portal access is project-management access, not the delivered website editor.

4. CLIENT MATERIALS, REVIEW, AND TIMING

Client supplies timely approvals, accurate business information, licensed content, photos, logos, and access to Client-owned accounts. Client is responsible for rights to supplied materials and the accuracy and legality of its business content. Missing materials, delayed feedback, unpaid provider charges, or account access problems may delay delivery; Provider will communicate an updated schedule rather than promise an automatic deadline. Final review takes place on a preview website before the final balance is due. The SOW defines the review period and measurable acceptance criteria. For this project, final acceptance requires written Client approval; silence is not deemed final acceptance under Section 3.4 of the standard terms. A request to correct work that fails the agreed specifications is distinct from a request for a new feature. Provider will address documented scope defects before requesting final acceptance.

5. FEES, DISCOVERY, AND CANCELLATION

Discovery calls are free, last 15 minutes, and require no payment at booking. Client may cancel or reschedule a discovery call at any time; 24 hours' notice is requested where possible. The fixed project fee and any agreed taxes or third-party costs are stated in the SOW. A 50% deposit is due only after Client accepts the proposal and signs the legally reviewed agreement. The deposit is non-refundable once paid. The remaining 50% is due after final approval and before production launch and handoff. Handoff is not triggered by a pending, failed, or unverified payment. If Client cancels after work starts, Client must give 14 days' written notice to the notice contact stated in the SOW. The deposit remains non-refundable. Work completed is payable at $150 per hour, not to exceed the remaining project balance. This replaces any inconsistent standard cancellation-for-convenience notice period. Provider will identify completed work and amounts due in writing; cancellation does not grant a right to unfinished work or unpaid deliverables. Non-refundable deposit provisions and remedies require California legal review and remain subject to non-waivable law. All current checkout is test-only. Connecting Stripe, publishing the website, or acknowledging this draft does not permit live charges. Live payments require the owner's separate, explicit confirmation that the contract has been reviewed.

6. OWNERSHIP AND HANDOFF AFTER FINAL PAYMENT

After final approval and verification of cleared final payment, Provider completes the handoff on the agreed SOW schedule. Account invitations, provider verification, registrar transfer restrictions, and domain propagation can affect timing; payment alone does not instantly transfer a domain or log a Client into an editor. Handoff includes: the final website and custom source files or repository; Client administrator access to the simple content editor; setup/deployment instructions; a list of hosting, domain, email, editor, and integration providers with recurring costs and license restrictions; and an editing guide and walkthrough. Provider records the handoff date and supplies the Client an access checklist. These are delivery obligations, not a claim that the Aurora portal automatically transfers third-party accounts. Hosting and domain registration must be transferred to or set up in Client's own accounts. Client accepts invitations and any required transfers, owns those accounts, controls renewal and billing, and pays providers directly. If a transfer is temporarily restricted, Provider documents the restriction and agreed completion steps. Client must have administrative control; Provider does not promise to bypass a registrar lock or replace Client's existing email records. Credentials are shared only through secure account invitations or an agreed secure method, never in an ordinary inquiry form. Upon full payment, Provider assigns ownership of custom final deliverables made exclusively for this project to Client as Assigned Deliverables under Section 6 of the standard terms. Client retains ownership of its supplied materials. Third-party software, fonts, stock assets, and open-source components remain subject to their licenses, not an exclusive ownership transfer. Any Provider Reserved Materials must be identified in the SOW, with the rights needed to run and maintain the delivered website specified there. Provider cannot withhold undisclosed dependencies needed to operate the website. Client may independently edit the permitted content, hire another developer, or move providers, subject to technical compatibility and third-party licenses. There is no requirement to retain Provider.

7. FOURTEEN-DAY DEFECT WINDOW

Starting on the documented handoff date, Client has 14 calendar days to report Provider-caused defects in the delivered work that fail the agreed specifications. Reports should include the affected page, steps to reproduce, and screenshots where possible. Provider corrects covered defects without an additional fee. Covered defects reported within the window remain eligible for correction even if the correction is completed later. This window covers defects in Provider's delivered work, not new content, new features, redesign requests, Client or third-party modifications, compromised Client accounts, unpaid hosting bills, domain expiration, or outages and changes in third-party services not caused by Provider. A Client edit does not void coverage for unrelated Provider-caused defects. No uptime or response-time SLA is included. These project-specific warranty/reporting terms replace conflicting reporting windows in Section 7.2 of the standard terms, subject to non-waivable law and attorney review. They do not limit mandatory legal rights.

8. PROJECT CLOSURE — NO CONTINUING SERVICES

After the 14-day defect-reporting window, the project is closed to new service requests. Provider remains responsible for covered defects timely reported during that window and surviving legal obligations, but no ongoing support, monitoring, backups, security updates, content updates, maintenance, hosting management, domain renewals, or emergency service is included or offered by default. There is no Site Care plan, monthly care plan, automatic renewal, retainer, or requirement to maintain an ongoing relationship. Client is responsible for website operation and provider accounts after handoff, including billing, renewals, backups, updates, access controls, and securing any specialist help it needs. Any future work requires a new, separate written agreement with its own scope, price, schedule, and acceptance; neither a support message nor this closed project creates a new engagement. Later work is not automatically accepted or guaranteed.

9. EXECUTION CHECKLIST — COMPLETE BEFORE LEGAL REVIEW

Attach the project SOW; confirm Client and Provider signatory authority; fill in the effective date, notice contacts, California venue, review/handoff dates, editable fields, third-party costs and licenses, and any Reserved Materials; provide the unchanged Bonterms v1.2 standard terms; obtain attorney review; and obtain both parties' signatures on the approved final agreement. Do not use this draft as a reviewed live contract. Provider signature / printed name / date: ____________________ Client signature / printed name / date: ____________________

SETUP, BUILD HOSTING, AND OPTIONAL BUSINESS SETUP These terms control over any conflicting hosting or setup term in this agreement. Aurora covers hosting costs during the build. Hosting and domain accounts remain in the Client's business name. The Client buys the domain and adds Aurora as a manager; passwords should not be shared. Within 14 calendar days of documented handoff, the Client must add their own payment method to the hosting account. At the end of that period, Aurora removes its payment method and is not responsible for interruptions caused by missing or failed Client billing. The payment-removal deadline is separate from the 14-day defect-reporting window and does not extend ongoing support. Optional business setup is $249 one time, only when expressly selected in the signed proposal: business email and Google Business Profile setup. The Client pays Google's email fee directly and completes Google's required verification. Google controls verification and approval; Aurora does not guarantee acceptance or search placement. At launch, the Client's Aurora login provides a central handoff page with website, editor, and account access links. Third-party providers may require separate sign-in or verification; this is not a promise of a shared password or single sign-on for unrelated providers.

Standard terms: Bonterms Professional Services Agreement v1.2 (CC BY 4.0). The draft cover page specifies additional project terms; the standard terms are unchanged.
